Kristopher Yingling is an associate in the Corporate Department and a member of the Private Funds Group. Working with private investment fund managers, Kristopher advises on the various stages of private fund formations, including capital raising, marketing, drafting, reviewing and negotiating fund documentation (i.e., offering memorandum, limited partnership agreement, side letter, etc.), preparation of responses to limited partner due diligence questionnaires and counseling clients on regulatory and compliance issues. Kristopher also advises managers on operational issues, including manager-ownership issues. Kristopher works with a variety of fund managers, ranging from large, diversified asset managers to emerging managers, and both exempt reporting advisers and registered investment advisers. Kristopher also counsels institutional investors on investor-side diligence and negotiations.
