Gail Sanger

Gail Sanger spent almost 30 years as a corporate and securities lawyer helping clients accomplish their business transactions in a result-oriented, innovative and cost-effective way. Her experience has encompassed a broad range of transactional work and securities law matters reflecting the wide scope of representation of the firm’s Corporate Department as a whole. In recent years, she has worked extensively in the area of mergers and acquisitions, representing public and private companies of a variety of sizes, including multinational corporations, venture capital start-up companies, and companies in bankruptcy proceedings, as well as investors in companies of all kinds. She also has had extensive experience in public and private securities offerings, corporate control issues, including friendly and hostile tender offers, and proxy contests.

In addition, Gail has negotiated a wide range of corporate agreements, such as joint venture agreements between United States and foreign companies, loan agreements and a variety of esoteric financing arrangements, and manufacturing services agreements, as well as licensing agreements and distributorship arrangements. On several occasions, she has also successfully negotiated settlement agreements for complex commercial disputes.

Gail has worked with multinational corporations headquartered in Europe, Canada and South America. Gail also has had extensive involvement with technology and medical device companies. She has represented publicly held and private companies, start-up entities, research and development partnerships, and investors in these businesses. With training in chemistry and continuing involvement with science, Gail plays a creative role in structuring transactions which accommodate the business as well as legal considerations for highly technical businesses.

Having written and lectured extensively on corporate law and securities matters, Gail also is a faculty member for the prestigious Practising Law Institute’s Annual Securities Regulation Institute, and its annual program on Initial Public Offerings, the ALI/ABA program on advanced banking law issues and an Executive Enterprises program on cross-border transactions. She has also lectured in Bar Association and other forums on corporate and securities law matters.
