Court advises financial institutions in a range of cross-border corporate finance transactions, including acquisition financing, high yield debt offerings, syndicated loans, bridge financings and tender offers.
Acquisition financing transactions involving high yield debt securities have been a focus of his experience, which includes Platinum Equity’s acquisition of Sunrise Medical, Apollo’s take-private acquisition of Purmo Group, EG’s acquisition of Cumberland Farms, TDR’s acquisition of ASDA and the take-private acquisitions of G4S and Morrisons. He has been named a recommended lawyer in high yield by The Legal 500 UK.

Prior to joining Proskauer, Court’s representative matters include:
- Sunrise Medical: Advised the lead arrangers in connection with the issuance of €815 million of senior secured notes as well as a super senior revolving credit facility to support an acquisition of German-headquartered mobility solutions company Sunrise Medical, agreed to by Platinum Equity.
- Purmo Group: Advised the lead arrangers in connection with the high yield bond financing and revolving credit facility to support the take-private acquisition of Purmo Group, a Finnish headquartered indoor climate solutions provider, by Apollo and minority co-investor Rettig Oy Ab.
- Kronos International: Advised the dealer manager and lead arrangers in connection with a €325 million cross border liability management exercise involving a combined exchange offer/cash tender for the Company’s existing high yield notes and new money offering of 9.50% senior secured notes due 2029.
- 888: Advised the initial purchasers in connection with the refinancing of high yield debt originally incurred to support the acquisition by 888 Holdings plc, one of the world’s leading online betting and gaming companies, of the international (non-US) business of William Hill at an enterprise value of £2.2 billion.
- FAGE International S.A.: Advised the dealer managers in connection with a modified Dutch tender offer for a portion of their outstanding senior notes due 2026.
- Ardagh Metal Packaging S.A.: Advised the initial purchasers in connection with Ardagh’s refinancing of its existing high yield debt securities.
